Heroz Software General Terms and Conditions
These terms and conditions apply to all quotes, assignments, and agreements between Heroz Software, based in Kampen, and its clients.
1. Definitions
- Heroz Software: Dennis & Eveline Heldens, trading name Heroz Software, registered with the Chamber of Commerce under number 96036621.
- Client: the party purchasing a service.
- Services: all offered products, software development, consulting, and other services from Heroz Software.
2. Applicability
These terms apply to every agreement and offer. Deviations only apply if agreed upon in writing.
3. Quotes & Agreement
All quotes are non-binding unless stated otherwise. An agreement is concluded after written confirmation by Heroz Software or direct commencement of the assignment.
4. Execution & Cooperation
Heroz Software executes assignments to the best of its ability. The client ensures correct and timely information and cooperation.
5. Delivery Times
Delivery times are indicative, not binding. Exceeding does not entitle to compensation unless otherwise agreed.
6. Prices & Payment
All prices are exclusive of VAT unless otherwise stated. Payment must be made within 14 days of the invoice date unless agreed otherwise.
7. Liability
Heroz Software is not liable for indirect damage, such as consequential damage or loss of profits. Direct damage, if applicable, is compensated up to the invoice amount of the respective service.
8. Intellectual Property
All products, software, and advice developed by Heroz Software remain the intellectual property of Heroz Software unless otherwise agreed in writing.
9. Force Majeure
In case of force majeure, Heroz Software may choose to postpone or terminate the execution of the agreement without liability for damages.
10. Confidentiality & Privacy
Both parties are obliged to maintain confidentiality of all confidential information. See the privacy statement for details on personal data.
11. Changes & Disputes
Heroz Software may change these terms. Dutch law applies to disputes, which will be submitted to the competent court in the region of Heroz Software.
